These Terms and Conditions ("Terms") govern access to and use of the website [www.mcfrancis.com] and associated services, including AI Human Sami technology (collectively, the "Service"), provided by Netspace Agency ("McFrancis", "we", "our").

By accessing or using the Service, the user ("you", "User") agrees to be bound by these Terms.

1. Service Description

McFrancis provides a technology platform that integrates a "Digital Employee" or "AI Human" (called "Sami") on customer websites. The Service is designed to improve interaction with site visitors, provide information, generate leads and facilitate communication in an intelligent and automated way.

2. Intellectual Property

The Service and all materials contained therein, including, by way of example, software, images, texts, graphics, logos, patents, trademarks (including McFrancis™), service marks, copyrights and all other related intellectual property ("Intellectual Property"), are the exclusive property of Netspace Agency. Except as expressly provided in this document, nothing in these Terms shall be deemed to be a license on our Intellectual Property.

We grant the User a limited, non-exclusive, non-transferable and revocable license to use the Service in accordance with these Terms and with the subscription plan subscribed.

3. Permitted Use and Restrictions

The User undertakes to use the Service exclusively for lawful purposes and in accordance with these Terms. It is strictly prohibited to:

• Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Service.
• Use the Service for any illegal purpose or to promote illegal activities.
• Sell, resell, rent or distribute the Service without our explicit written consent.
• Interfere with the proper functioning of the Service or attempt to compromise the integrity or security of our systems.
• Use the Service to send spam or unsolicited communications.

4. Plans, Payments and Cancellation

Access to some Service features requires subscription to a paid plan, as described on our Plans page. By subscribing to a plan, the User agrees to pay all applicable fees.

• Billing: Payments will be charged on a recurring basis (e.g. monthly or annual) according to the chosen plan.
• Cancellation: The User can cancel their subscription at any time. Cancellation will take effect at the end of the current billing cycle. No refunds are provided for partial periods.

5. Limitation of Liability

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, McFrancis makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose or non-infringement of third party rights.

In no event shall McFrancis, its affiliates, agents, directors or employees be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or other intangible losses, arising from the use or inability to use the Service.

6. Confidentiality

The User acknowledges that information relating to the operation of the Service, its technology and its prices are confidential in nature. The User undertakes not to disclose such information to third parties.

7. Changes to Terms

We reserve the right to modify these Terms at any time. In case of substantial changes, we will inform the User via email or by posting a prominent notice on our Site before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the new Terms.

8. Applicable Law and Competent Court

These Terms are governed and interpreted in accordance with the laws of the Italian Republic, without regard to conflict of law provisions.

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Court of Turin, Italy.
